Terms of Use & End User License Agreement

1. Acceptance of Terms

By installing, accessing, or using the SeekShop browser extension (“Extension”) or visiting our website at
www.seekshop.co (“Service”), you agree to be bound by these Terms of Use (“Terms”) and our Privacy Policy, which is
incorporated herein by reference. If you do not agree to these Terms, do not use the Extension or Service.

2. Description of Service

SeekShop is a browser extension and web service that provides:

  • AI-powered product analysis and SmartScore ratings
  • Customer consensus data aggregated from public reviews and discussions
  • Product insights and recommendations based on automated analysis
  • Coupon and discount information from various sources
  • Shopping-related tools and comparative features
  • Analysis of public content from platforms including Reddit, YouTube, forums, and review sites

Important: Our Service provides automated analysis and recommendations. All insights, scores, and
recommendations are generated by artificial intelligence and should be considered as informational tools only, not
as professional advice.

3. Privacy Policy Integration

Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and protect your
information. By using the Service, you consent to the data practices described in our Privacy Policy. The Privacy
Policy is available at https://seekshop.co/privacy and is incorporated into these Terms by reference.

4. License to Use

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use
the Extension for personal, non-commercial purposes. This license automatically terminates if you violate these
Terms.

Extension Updates

The Extension may automatically update to provide new features, bug fixes, or security improvements. By using the
Extension, you consent to these automatic updates.

5. User Responsibilities

You agree to:

  • Use the Extension and Service only for lawful purposes
  • Provide accurate information when creating accounts or communicating with us
  • Not attempt to reverse engineer, modify, decompile, or create derivative works of the Extension
  • Not use the Extension to violate any third-party rights or terms of service
  • Not interfere with or disrupt the Extension’s functionality or our servers
  • Comply with all applicable laws and regulations
  • Respect the terms of service of websites where you use the Extension
  • Not use the Service for any commercial purposes without our written consent

6. Prohibited Uses

You may not use the Extension or Service to:

  • Engage in any illegal, fraudulent, or deceptive activity
  • Circumvent any security features, access controls, or usage limitations

Retailer Relationships

purchases through certain links. These relationships do not affect our analysis or recommendations.

8. AI-Powered Features and Disclaimers

Artificial Intelligence Limitations

Our Service uses artificial intelligence and automated systems to analyze products and generate insights. You
acknowledge and agree that:

  • AI-generated analysis, scores, and recommendations are informational only
  • Results may not always be accurate, complete, or up-to-date
  • You should not rely solely on our analysis for purchasing decisions

No Professional Advice

The Service does not provide professional, financial, legal, or expert advice. All information is for general
informational purposes only.

9. Coupons and Discounts

No Guarantees

We provide coupon and discount information as a convenience, but we do not guarantee:

  • The accuracy, validity, or current availability of any coupon or discount
  • That you will achieve any specific savings or benefits
  • The terms or conditions associated with third-party offers
  • That coupons will work on all products or for all users

Third-Party Offers

Coupons and discounts are provided by third parties and are subject to their terms and conditions. We are not
responsible for any issues with third-party offers.

10. Account Features

If you create an account or provide your email address:

  • You are responsible for maintaining the confidentiality of your account information
  • You must provide accurate and current information
  • You may delete your account at any time by contacting hello@seekshop.co
  • Upon account deletion, we will handle your data according to our Privacy Policy

protected by copyright, trademark, and other intellectual property laws. This includes:

  • The SeekShop name, logo, and branding
  • Software code, designs, and user interfaces
  • Aggregated data and insights we generate

User Content

If you provide feedback, suggestions, or other communications to us, you grant us a perpetual, worldwide, royalty-
free license to use such content for any purpose.

12. Disclaimers

Service Availability

THE EXTENSION AND SERVICE ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND. We
disclaim all warranties, express or implied, including but not limited to:

  • Merchantability and fitness for a particular purpose
  • Accuracy, reliability, or completeness of product information, scores, or recommendations
  • Availability of coupons, discounts, or third-party content
  • Uninterrupted, secure, or error-free operation
  • Compatibility with all devices, browsers, or operating systems

Data Accuracy

We do not warrant that any product information, pricing, availability, or other data displayed through the Service is
accurate, current, or complete.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

Damages Limitation

WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, PUNITIVE, OR SPECIAL DAMAGES,
INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, or business opportunities
  • Loss of data or use of systems
  • Cost of replacement goods or services
  • Personal injury or property damage
  • Any damages arising from your use of third-party websites or services

Maximum Liability

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICE SHALL NOT EXCEED
$100 OR THE AMOUNT YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM, WHICHEVER IS GREATER.

Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control,
including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, or government actions.

14. Indemnification

You agree to indemnify, defend, and hold harmless SeekShop, its officers, directors, employees, agents, and
affiliates from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys’
fees) arising from or relating to:

  • Your use of the Extension or Service
  • Your violation of these Terms or our Privacy Policy
  • Your violation of any third-party rights
  • Any content you provide to us

15. Arbitration and Class Action Waiver

IMPORTANT: THIS SECTION CONTAINS A BINDING ARBITRATION CLAUSE AND CLASS ACTION WAIVER. IT AFFECTS
YOUR LEGAL RIGHTS. PLEASE READ CAREFULLY.

Agreement to Arbitrate

Binding Arbitration: You and SeekShop agree that any and all disputes, claims, or controversies arising out of or
relating to these Terms, the SeekShop Extension, our Service, or your relationship with us (“Claims”) shall be resolved
through binding individual arbitration rather than in court, except as specifically provided below.

Covered Claims: This arbitration agreement covers all Claims, whether based in contract, tort, statute, fraud,
misrepresentation, or any other legal theory, and whether seeking monetary or non-monetary relief.

Exceptions: The following are not subject to arbitration:

  • Individual claims in small claims court (if they remain individual and are not removed or appealed to a court of
    general jurisdiction)
  • Claims seeking injunctive or equitable relief to protect intellectual property rights
  • Claims that cannot be subject to arbitration under applicable law

Arbitration Procedures

Arbitration Rules: Arbitration will be conducted under the Consumer Arbitration Rules of the American Arbitration
Association (“AAA”), as modified by these Terms. The AAA rules are available at www.adr.org.

Arbitration Process:

  • Either party may initiate arbitration by filing a demand with the AAA
  • The arbitration will be conducted by a single arbitrator
  • The arbitrator’s decision will be final and binding on both parties
  • The arbitration will take place in California or another location agreed upon by both parties
  • The arbitrator may award any relief that would be available in court

Costs: Each party will bear their own costs and attorneys’ fees, except that SeekShop will pay the arbitrator’s fees
and administrative costs if required by AAA rules or applicable law.

Class Action Waiver

Individual Claims Only: You and SeekShop agree that each party may bring Claims against the other only on an
individual basis and not as part of any class, collective, or representative action or proceeding.

No Class Arbitration: You may not participate in a class action lawsuit or class-wide arbitration against SeekShop.
Claims by multiple users cannot be arbitrated or litigated jointly or consolidated with those of any other user.

Individual Relief: You may only seek relief (including monetary, injunctive, and declaratory relief) on an individual
basis.

Opt-Out Rights

30-Day Opt-Out Period: You have the right to opt-out and not be bound by the arbitration provisions set forth in
these Terms by sending written notice of your decision to opt-out to hello@seekshop.co within 30 days of first
installing the SeekShop Extension or agreeing to these Terms.

Opt-Out Requirements: Your opt-out notice must include:

  • Your full name
  • Your email address (if you provided one)
  • A clear statement that you wish to opt out of the arbitration agreement
  • The date you first installed the SeekShop Extension

Effect of Opt-Out: If you opt out of arbitration, you retain the right to pursue claims in court, but you are still bound
by the individual (non-class) nature of any claims, unless the class action waiver is unenforceable under applicable
law.

Additional Arbitration Terms

Severability: If any part of this arbitration agreement is found to be invalid or unenforceable, the remainder shall
continue in full force and effect. However, if the class action waiver is found to be unenforceable, then this entire
arbitration agreement shall be null and void, but the remainder of these Terms shall remain in effect.

Governing Law: This arbitration agreement and any arbitration proceedings shall be governed by the Federal
Arbitration Act and federal arbitration law.

Survival: This arbitration agreement shall survive the termination of these Terms and your use of the SeekShop
Extension.

Modifications: SeekShop may modify this arbitration agreement, but such modifications will not apply to Claims that
arose before the modification took effect. If SeekShop changes this arbitration agreement after you have installed
the Extension, you may reject the change by sending written notice within 30 days of the change to
hello@seekshop.co.

16. Termination

Termination by Us

We may terminate or suspend your access to the Extension and Service at any time, with or without cause, and with
or without notice, including for violation of these Terms.

Termination by You

You may terminate your use of the Service at any time by:

  • Uninstalling the Extension from your browser
  • Discontinuing use of our website
  • Contacting us to delete your account (if applicable)

Effect of Termination

Upon termination:

  • Your license to use the Extension immediately ceases
  • We may delete your account and associated data according to our Privacy Policy
  • Sections of these Terms that by their nature should survive termination will remain in effect

17. Platform Compliance

Our Extension complies with:

  • Chrome Web Store Developer Program Policies
  • Chrome Web Store User Data Policy
  • Other applicable browser extension platform requirements

You acknowledge that your use of the Extension is also subject to the terms and policies of your browser platform.

18. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of California, USA, without regard to conflict of law principles.
Any disputes not subject to arbitration shall be resolved in the courts of California.

19. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

  • Updating the “Last Updated” date above
  • Posting updated Terms on our website
  • Providing notice through the Extension (if technically feasible)
  • Sending email notification (if you provided your email address)

Your continued use of the Service after any changes constitutes acceptance of the modified Terms.

20. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will remain in
full force and effect.

21. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and SeekShop
regarding your use of the Service and supersede all prior agreements and understandings.
